       PHOTO-ME INTERNATIONAL AND WEBPHOTOS.COM COMBINE
         TO OFFER PHOTO DEVELOPMENT OVER THE INTERNET
                               
Photo-Me  and WEBPHOTOS.COM of Maryland, USA, have  agreed  to
develop  WEBPHOTOS.COM's  portal  for  storing,  sharing   and
printing  photographs on-line. This portal will  benefit  from
the recent launch of Photo-Me's DKS digital minilabs.

Photo-Me  will allow WEBPHOTOS.COM to access its international
network  of retailers equipped with DKS digital minilabs.  The
combination  of  DKS  digital minilabs and WEBPHOTOS.COM  will
allow  images,  received on-line through the  network,  to  be
processed and printed and sent back to the customer by mail.

In each country where Photo-Me sells the DKS digital minilabs,
WEBPHOTOS.COM will offer to equip the DKS digital minilab with
personalised portals powered by WEBPHOTOS.COM software.

Photo-Me has acquired 20 per cent of the outstanding shares of
common stock of WEBPHOTOS.COM, and there has been an option to
acquire a further 10 per cent.

Photo-Me   is   currently  negotiating  with   other   leading
photographic  portal companies in Europe, the  USA  and  Japan
with a view to developing a worldwide network in this field in
order  to  fully  maximise the potential of  the  DKS  digital
minilab  in  the new market of on-line photo-processing.  This
agreement  with WEBPHOTOS.COM is the first step in  developing
an online photo-processing system based around the DKS digital
minilab.

Serge  Crasnianski, CEO of Photo-Me, stated  'Photo  printing,

of  Photo-Me's  leadership in on-line digital photo-processing
