Mears Group PLC - Additional Listing

Mears Group PLC has issued 7,112 new ordinary shares of 1p each pursuant to an
exercise of options.

Application has been made to admit these shares to trading on the Alternative
Investment Market. It is expected that admission of these new 7,112 ordinary
shares, which will rank pari passu in all respects with the existing ordinary
shares, will become effective on 31 July 2003.
