Mears Group PLC - Additional Listing

Mears Group PLC has issued 161,641 new ordinary shares of 1p each pursuant to
the exercise of options.

Application has been made to admit these shares to trading on the Alternative
Investment Market. It is expected that admission of these new 161,641 ordinary
shares, which will rank pari passu in all respects with the existing ordinary
shares, will become effective on 2 February 2004.
