Mears Group PLC - Additional Listing


Mears Group PLC has issued 55,000 new ordinary shares of 1p each pursuant to an
exercise of options.

Application has been made to admit these shares to trading on the Alternative
Investment Market. It is expected that admission of these new 55,000 ordinary
shares, which will rank pari passu in all respects with the existing ordinary
shares, will become effective on 9 June 2004.
