Mears Group PLC - Additional Listing

Mears Group PLC has issued 363,250 new ordinary shares of 1p each pursuant to an
exercise of options under the terms of the Executive Share Option Scheme.

Application has been made to admit these shares to trading on the Alternative
Investment Market. It is expected that admission of these new 363,250 ordinary
shares, which will rank pari passu in all respects with the existing ordinary
shares, will become effective on 4 May 2004.
