ISSUE OF EQUITY

Mears Group PLC ('Mears' or the 'Company')

The Company announces today that it has made an application to the London Stock
Exchange for the admission of 113,865  new ordinary shares in the Company to be
issued to trading on AIM. This figure represents the number of Mears shares  due
to Careforce's shareholders who had validly accepted the share offer by 1.00
p.m. on 13 April 2007.

The new ordinary shares will rank pari passu in all respects with the existing
shares in issue. Admission of such  shares to trading on AIM is expected to take
place on 19 April 2007.
