Additional Listing

Mears Group PLC has issued 1,124 new ordinary shares of 1p each pursuant to an
exercise of options under the terms of the SAYE Scheme.

Application has been made to admit these shares to trading on AIM, and it is
expected that admission of these new 1,124 ordinary shares, which will rank pari
passu in all respects with the existing ordinary shares, will become effective
on 30 December 2004.
