Bob Holt Appointed as New Executive Chairman

Martin O'Halloran of Mears Group PLC will be unable to dedicate sufficient of
his time to Mears during the coming year due to his other business interests
in the USA.  Martin has offered to step down from the role of Executive
Chairman and to take up a Non-Executive role with the company.

Bob Holt, the Mears' Chief Executive has been appointed Executive Chairman.

Martin O'Halloran has also offered to waive 2,564,102 options over new Mears
ordinary shares.  This was accepted by the Mears Board on 31st December 1999.
