Director's shareholding

The Company was notified on 14 December 2005 that on the same day Mr Bob Holt
sold 2,700,000 ordinary shares of 1p each in the Company ('Shares') at a price
of 300 pence per Share.

Following this transaction Mr Holt has an interest in 500,000 representing 0.85
per cent. of the Company's issued ordinary share capital and options over
485,000 shares.

Bob Holt commented 'I remain committed to the continuing growth of Mears and a
long term holder of my remaining interest in the Company. Mears has developed an
excellent management team of which I intend to remain a part and I look forward
to playing a leading role in the future development of the Group.'
