The Company received notification on 20 September that Mrs. S.C. Smith, wife of
Andrew Smith, Executive Director of Mears Group PLC, bought 50,000 ordinary
shares of 1p each, at a price of 270.25p per share.

This purchase comprises Mr. A. Smith's total interest in Mears' ordinary shares.
