Mears Group - Directors Exercise of Options and Dealing

The Company has been notified that on 8 January 2002 Robert Holt, a director
of the Company:


 i. exercised options over 1,800,000 ordinary shares of 1p each in the Company
    at a price of 10p per share. The option was granted on 26 September 1996;

ii. sold the resulting 1,800,000 ordinary shares at 73.25p per share.

Following this disposal, which was made to satisfy institutional demand, Mr
Holt will retain an interest in 5,200,000 ordinary shares representing 9.36
per cent. of the Company's enlarged issued share capital.
