MEARS GROUP PLC - EXERCISE OF OPTIONS

The Company has today received notice that Martin O'Halloran, non-executive
director of the Company, has exercised options over 5,128,205 Ordinary Shares
in Mears Group PLC.  

Application to AIM has been made for listing of these shares.  Dealings are
expected to commence on 13th April 2000.
