                      CATER BARNARD PLC (or the 'Company')


Cater Barnard plc have applied for 960,000 Ordinary Shares (the 'Ordinary
Shares') of 1p each, allotted to Pegasus Investments Limited in consideration of
the acquisition of shares in Cater Barnard (USA) plc, to be admitted to trading
on the Alternative Investment Market of the London Stock Exchange.

It is expected that dealings in the Ordinary Shares will commence on 
27 September 2002.
