              Cater Barnard Plc ('Cater Barnard' or the 'Company')

                                 Board Changes


Cater Barnard continues its strategy of acquisitions in the Financial Services
sector, but because of current market conditions, the Company has decided to
pursue negotiations in other areas of Financial Services rather than Independent
Financial Advisers.

As a result, the Board announces the departure of Mr Jonathan Everill, and Mr
Mark Garratt, Finance Director. A new appointment to the position of Finance
Director will be announced shortly.
