Directors' Shareholding
Cater Barnard has been informed that, on 19th December 2003, Global Investments
Limited ('Global') was called upon to sell 63,500,000 Cater Barnard ordinary
shares at a price of 0.316p per share to Meynard Freres Limited, under an option
granted on 28th November 2003. As a result of the sale, Global now holds
295,821,413 ordinary shares in the Company, representing approximately 31.51% of
the Company's issued ordinary share capital. Global is the trustee of a trust in
which Stephen Dean, the Chairman of the Company, has a beneficial interest.
Meynard Freres Limited has notified the Company that it holds 63,500,000
ordinary shares in the Company, representing approximately 6.67% of the
Company's issued ordinary share capital.
