                            Director's Shareholding


The Company was informed on 5 September 2002 that Hemery Trustees Limited
purchased on 4 September 2002 300,000 ordinary shares in the Company at 1.05p.
The shares held by Hemery Trustees Limited are held in its capacity of the
Taurus Trust, a discretionary trust of which Mr Stephen Dean, Chairman, is the
principal beneficiary. Hemery Trustees Limited now holds 518,671,415 ordinary
shares in the Company representing 66.04 per cent of its issued share capital.
