     Directors Shareholding and correction of Number of Shares in Issue.



Due to an administration error, Cater Barnard plc inadvertantly duplicated
applications for the listing of 2,122,601 ordinary shares. The Company has
applied to AIM to have these additional shares cancelled. The Correct number
of shares in issue for Cater Barnard plc is 156,845,224.


As a result of the above and following a reconciliation by Mr Dean of his
shareholding in Cater Barnard plc, it has been brought to the Company's
attention that Mr Dean is the beneficial owner of 30,691,703 ordinary shares
in the Company which represents 19.31% of the Company's issued share capital.
