Cater Barnard plc ('the Company' or 'Cater Barnard')
Disposal of Envesta Ordinary Shares
Cater Barnard has sold 18,200,000 of its holding of Envesta plc ordinary shares
on 6 June 2002 for a consideration of £682,500 before expenses. Cater Barnard
now holds 41,678,932 Envesta ordinary shares representing 36.64% of Envesta
plc's issued share capital.
18,000,000 of these shares were sold to Stephen Dean, a director and controlling
shareholder of Cater Barnard. This transaction is a related party transaction as
defined in the AIM Rules. The Directors of Cater Barnard, other than Stephen
Dean, consider, having consulted with its nominated adviser, that the terms of
the transaction are fair and reasonable insofar as shareholders are concerned.
The proceeds will be used partially to fund new acquisitions in furtherance of
the Company's strategy of broadening its corporate finance offering.
