CATER BARNARD PLC ('CATER BARNARD') SALE OF SHARES IN ENVESTA PLC ('ENVESTA') IN
EXCHANGE FOR SHARES IN
NEW OPPORTUNITIES INVESTMENT TRUST PLC ('NOIT')
Cater Barnard has agreed to sell 33,333,333 shares in Envesta for 1,166,667
redeemable ordinary shares of 5p each in NOIT, at a price of £1 per share.
The value of the sale to Cater Barnard is £1,166,667 which values the Envesta
shares at 3.5p. This is as a part of Cater Barnard's Strategy to liquidate its
non core investments to utilise the additional working capital on its Financial
Services business.
NOIT is an investment trust listed on the Official List with the objective of
offering its shares in return for shares in smaller companies. After a period of
time, the smaller company concerned will be free to sell or place the shares in
NOIT and thus have the opportunity of raising additional funds. In the case of
Cater Barnard, the Company has agreed not to dispose of its NOIT shares until 25
December 2002.
