                          Notification of Shareholding

Cater Barnard announces that it was informed on 23 July 2004 that Peter Townsend
had acquired 1,000,000 ordinary shares of 0.1p each in the capital of the
Company ('Ordinary Shares'). As a consequence, Peter Townsend is now interested
in 41,900,000 Ordinary Shares representing 3.06 per cent of the issued share
capital of the Company.
