     Result of Extraordinary General Meeting ('EGM')
                            

At the EGM of the Company held today, all resolutions put
to the shareholders were duly passed.

Mr  Stephen Dean Chairman, reported that the Company  had
received acceptances in respect of 88.14 per cent. of the
shares available to shareholders under the Open Offer.

Mr  Dean  told  Shareholders 'I see  this  take-up  as  a
pleasing vote of confidence by shareholders in the future
of  the  Company  and  in its strategy  of  acquiring  or
investing  in  smaller companies within  the  information
technology or internet sector which the Directors see  as
having  scope  for  sustainable  growth  but  which  need
further funding for expansion.

Since  our AIM listing in August 1999, and as the  market
has  developed over the past few months, particularly  in
relation to the IT and internet related sector,  we  have
seen  that this is the bast strategy to pursue to achieve
growth in shareholder value.'
