             Result of extraordinary general meeting of the Company

                              Re-Admission to AIM

The Board of Cater Barnard is pleased to announce that at today's Extraordinary
General Meeting all resolutions were passed to effect, inter alia, the
acquisitions of Navitas Hemway and Telco Solutions and the change of the
Company's name to Mercury Group PLC. The acquisitions represent significant
progress towards achieving the Company's strategy of building a group providing
a wide range of professional services to the real estate industry in the UK and
Continental Europe. Completion and Admission to AIM are expected on 31st
December 2004.
