The Company was informed on 8 May 2003 that Hoodless Brennan & Partners
('Hoodless') have made the following acquisitions and disposals:

- on 6 May 2003, Hoodless purchased 40,000,000 ordinary shares in the Company,
representing a holding of 5.09% of Cater Barnard's issued share capital;

- on 6 May 2003, Hoodless sold 2,450,000 ordinary shares in the Company, taking
the holding of Cater Barnard's issued share capital to 4.75%; and

- on 7 May 2003, Hoodless sold 9,732,000 ordinary shares in the Company, taking
the holding of Cater Barnard's issued share capital to 3.54%.
