                     Total Voting Rights and Share Capital





For the purposes of the transitional provisions of the Financial Services
Authority's Disclosure and Transparency Rules, the total number of ordinary
shares of 1p of Mercury in issue as at the date of this notice is 112,975,684
with each share carrying the right to one vote.


There are no shares held in treasury.


The total number of voting rights in Mercury is therefore 112,975,684.


The above figure may be used by the shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, Mercury, under the Disclosure and
Transparency Rules.
