RESPONSIBILITIES AND CONNECTED PERSONS

This notification is made in accordance with DTR 3.1.4(1).

Awards under the Company's Deferred Annual Bonus Plan 2013

On 28 April 2015, awards over ordinary shares in Al Noor Hospitals Group plc (the "Company") have been granted to the following persons discharging managerial responsibilities ("PDMRs") under the rules of the Al Noor Hospitals Group plc Deferred Annual Bonus Plan 2013 (the "Plan"):

£Nil consideration per share was paid for the grant of the awards, which are structured as conditional awards.

The first 50% of the Award will vest on the dealing day immediately following the first anniversary of the date of grant, and the remaining 50% of the Award will vest on the dealing day following the second anniversary of the date of grant, subject to the continued employment of the PDMR in the Al Noor Hospitals group.  No performance conditions apply to the Awards.

The Company was informed of the above transactions in London on 28 April 2015.
