Completion of Sale of Investment Division
Montpellier is pleased to announce that, following approval of its shareholders,
the arrangement entered into on 16 September 2003 with Browallia International
BV ('BBV') and Browallia Discount Company Limited ('Browallia') for the sale of
its Investment Division has been completed.
At its Extraordinary General Meeting, held on Monday 20 October, all
resolutions, in accordance with the requirements of Section 320 of the Companies
Act in connection with the disposal of assets as a related party transaction and
section 164 of the Companies Act regarding the off-market purchase of its own
shares, were duly passed.
Under the terms of the transaction, Montpellier will buy back 20 million of its
ordinary shares from BBV for cancellation, following which the allotted share
capital of the Company will be 59,249,650 ordinary shares of 10p each.
