Board retirement and appointments

Board retirement

The directors announce the retirement from the board of Henry Staunton with effect from 31 December 2014. Henry joined the board in May 2008 and has been the Senior Independent Director since May 2010. The directors thank Henry for his invaluable contribution to the work of the board over the years and wish him well with his new responsibilities on other boards.

Senior Independent Director

Mike McKeon, who is Chairman of the Audit Committee, will succeed Henry as Senior Independent Director from 1 January 2015.

Board appointments

The board is pleased to welcome Mary Ann Sieghart and Sybella Stanley as non-executive directors, with effect from 3 November 2014.

Mary Ann Sieghart is Chair of the Social Market Foundation and a non-executive director of Henderson Smaller Companies Investment Trust PLC and a director of DLN Digital Ltd. Mary Ann sits on the Council of Tate Modern and the Content Board of Ofcom and she is a trustee of the Radcliffe Trust and holds other voluntary posts. Mary Ann is a political journalist and broadcaster and was formerly Assistant Editor of The Times, a Lex Columnist at the Financial Times and City Editor of Today.

Sybella Stanley is Director of Corporate Finance at Reed Elsevier Group plc, where she manages Reed Elsevier's global mergers and acquisitions programmes, and is a Member of the Department of Business, Innovation and Skills' Industrial Development Advisory Board. Before joining Reed Elsevier in 1997, Sybella was a member of the M&A advisory teams at successively Citigroup and Barings. She is a trustee of the Britten-Pears Foundation and a member of the Somerville College Oxford Development Board. Sybella is a barrister.

Both Mary Ann and Sybella will be members of the Audit Committee, the Nomination Committee and the Management Engagement Committee on appointment.

There are no other details requiring disclosure in respect of these appointments under paragraph 9.6.13 of the Listing Rules of the FCA.
