ANNUAL REPORT AND ACCOUNTS AND PROPOSED AMENDMENTS TO THE ARTICLES OF ASSOCIATION

At the annual general meeting to be held on 13 October 2008, it is proposed that amendments be made to the Articles of Association to take account of, inter alia, changes in company law brought about by the Companies Act 2006. The changes relate to provisions regarding Directors' Conflicts of Interest, Directors' Indemnities, Electronic & Website Communications, Directors' Age Limit and Laser Sealing.  An explanation of the proposed amendments to the Articles of Association is set out in the Directors' Report within the Annual Report and Accounts for the year ended 30 June 2008. 

The proposed amended Articles of Association are available for inspection at the Company's registered office, Calton Square, 1 Greenside Row, Edinburgh EH1 3AN and at the offices of the Company's legal advisers, Maclay Murray & Spens LLP, 1 London Wall, London EC2Y 5AB. The Company has, in accordance with DTR 6.1.2, submitted a draft of the proposed amended Articles of Association to the UK Listing Authority.
