Publication of Circular: Notice of General Meeting - Update
Following the announcement made by the Company on 1 June 2020 in relation to the publication of a circular (the 'Circular'), it has come to light that the Circular (including the notice of general meeting (the 'General Meeting')), contained an error.
As set out in the Circular, the Company intends to publish a prospectus shortly after the General Meeting (the 'Prospectus') to enable further share issues to take place (the 'Prospectus Issues'). The Prospectus will relate to the issue of up to 25 million new ordinary shares of 5p each, being approximately 50 per cent. of the Company's issued share capital at the latest practicable date in the Circular.
Resolutions 2 and 4 in the notice of General Meeting relating to the issue of the Prospectus referred to shares "up to an aggregate nominal amount of £2,500,000, being approximately 50 per cent. of the issued share capital of the Company as at 29 May 2020". However, this nominal value represents approximately 100 per cent. of the issued share capital.
To rectify this error, an amendment to the allotment authority in Resolution 2 will be proposed at the General Meeting to give effect to what the Board intended that the Prospectus Issues will be in respect of up to approximately 50 per cent. of the issued share capital, being shares with an aggregate nominal value of £1,250,000.
Resolution 4 will still be proposed as a special resolution to disapply pre-emption rights in relation to the issue of shares up to an aggregate nominal amount of £2,500,000 as set out in the notice of general meeting. However, as the authority in resolution 4 is linked to the authority proposed in resolution 2, the Company will only be able to issue shares with an aggregate nominal value of £1,250,000 under the Prospectus Issues.
