YooMedia transforms iPublic with MMTV acquisition
YooMedia, the interactive entertainment group, has agreed to acquire the entire
issued share capital of MMTV Limited, which holds the contract to bring NHS
Direct health information on to all four interactive digital television
platforms in the UK. MMTV's initial three-year contract from the Department of
Health was awarded in March and involves expenditure by the Department of a
total of £15million.
YooMedia is buying MMTV Limited from its parent, MultiMedia Television plc. The
initial consideration is 6,382,979 ordinary shares in YooMedia plc and £300,000
in cash, the cash element payable over the next two years. The transaction
includes an earn-out element, which provides for further deferred payments to
MultiMedia Television plc in a range between £2.2million and £4.2million to be
satisfied in shares in YooMedia plc or cash at YooMedia's option depending on
further revenues accruing to MMTV Limited in a range from £5million to
£11.5million over next two years of the contract with the Department of Health.
The transaction is conditional upon the 6,382,979 new ordinary shares issued
pursuant to the acquisition being admitted to trading on AIM. Application has
been made for their admission, which is expected to become effective on Tuesday
5 October 2004. Once issued, the new ordinary shares will rank pari passu with
the existing ordinary shares. The new shares are subject to lock-up and orderly
market provisions.
David Docherty, chief executive of YooMedia, said: The acquisition of MMTV
transforms our public sector division, iPublic, leaving us as the only player
with scale in the provision of public services via interactive TV. Moreover, the
assured revenue stream, together with the economies of scale from putting MMTV
and iPublic together, makes the transaction very appealing economically to
YooMedia.
'Initially, the service will be mostly information-based, providing, for
example, directories of services and an encyclopaedia of illnesses and
treatments, but there is the potential to expand it into a service that will
enable patients to book appointments.'
Angus Drever, chief executive of MultiMedia Television Limited, said: 'The
opportunity to combine MMTV Limited with iPublic is irresistible as it puts
together the two most significant players in public sector interactive
television and we look forward to sharing in the fruits of that combination.'
David Docherty added: 'Health is a key element of the government's strategy to
deliver public services via new media and this transaction puts iPublic centre
stage in that arena. Essentially, iPublic and MMTV combined have an opportunity
to create interactive public service television.'
