AGM resolutions proposed by Piedmont Inc.



Following the removal of four directors from the Board at the beginning of December, Piedmont Inc. yesterday proposed resolutions that four different directors should be elected at the upcoming AGM.  In accordance with section 339 of the Companies Act 2006, the Company will be sending copies of such resolutions to each member of the Company as soon as reasonably practicable.


The Board notes the requirements of the Combined Code on Corporate Governance which require that 'there should be a formal, rigorous and transparent procedure for the appointment of new directors to the Board'. It therefore intends to invite each candidate to meet with our external head hunters and the Nomination Committee to enable the Board to formulate its recommendation as to how shareholders should vote at the AGM on these elections.


The Board notes that Simon Burke, who has been proposed for election as a Director by Piedmont Inc, was one of the shortlisted candidates for the Chairmanship of the Company, but had not been supported by Richard McGuire on behalf of Piedmont Inc. 


The Board is disappointed that Piedmont Inc. is proposing a resolution to remove Drummond Hall, the former Chairman, from the Board, as Mr Hall has already made it clear that he is intending to stand down from the Board.


The Board reaffirms its central responsibility is to promote the success of the Company for the benefit of its shareholders as a whole and fairly as between each of them. Its overriding objectives at the AGM will be to ensure that the Board continues to have a majority of directors independent of any allegiance or favour to any single shareholder or group of shareholders.
