                              Directors' Interests


Mourant & Co. Trustees Limited, as Trustees of the Company's Employee Benefit
Trust, bought 380,000 Mitchells & Butlers ordinary shares on 11 June 2004 at
262.4429p per ordinary share.


The balance now held by the Trust is 1,955,000 shares.


The Executive Directors of the Company, M.Bramley, T.Clarke, A.Hughes and
K.Naffah, as potential beneficiaries under the Trust, are deemed to be
interested in the above purchase.
