The Company's Employee Benefit Trust ('the Trust') holds a balance of 2,568,919
Mitchells & Butlers ordinary shares following:

- the exercise of options by non-directors over 193,177 shares; and

- the acquisition by the Trust on 9 July 2004 of 521,387 shares at £2.776263 per
share.

The executive directors of the Company, M.L.Bramley, T.Clarke, A.Hughes and
K.Naffah, as potential beneficiaries under the Trust are technically deemed to
be interested in the above balance.
