                            Directors' Interests

Mourant & Co. Trustees Limited, as Trustees of the Company's Employee Benefit
Trust, bought 100,000 Mitchells & Butlers ordinary shares on 25 May 2004 at
253.25p per ordinary share.

The balance now held by the Trust is 1,100,000  shares.

The Executive Directors of the Company, M.Bramley, T.Clarke, A.Hughes and
K.Naffah, as potential beneficiaries under the Trust, are deemed to be
interested in the above purchase.
