The Company's Employee Benefit Trust ('the Trust') holds a balance of 3,130,686
Mitchells & Butlers ordinary shares following the purchase of 1 million shares
on the 15 December 2004 at a price of 316.4888p per share, and the exercise of
options by non-directors over 63,629 shares.

The executive directors of the Company, M.L.Bramley, T.Clarke, A.Hughes and
K.Naffah, as potential beneficiaries under the Trust, are technically deemed to
be interested in the above balance
