                                TREASURY SHARES

The Company holds a balance of 785,455 Mitchells & Butlers ordinary shares as
treasury shares following the exercise of savings related options over 456,514
shares at prices ranging between 209p and 401p per share.

As a result of the above, the number of shares in issue, excluding shares held
in treasury is 402,994,238 ordinary shares.
