2021 AGM voting outcome update statement

Mitie Group plc (the Company) today provides an update in respect of the results of its Annual General Meeting (AGM) held on 27 July 2021.  At the Company's AGM all resolutions were duly passed by poll with the requisite majority. 

The Board notes that the resolutions which received a vote of more than 20% against (as a percentage of the total number of votes cast) were in respect of the remuneration report, the remuneration policy, authority to disapply pre-emption rights for the purpose of acquisitions and capital investments, and the Enhanced Delivery Plan (EDP).  It should be noted that votes cast in favour of those resolutions were 79.72%, 70.07%, 77.92% and 70.01% respectively. 

The Company undertook extensive consultation with our major shareholders prior to the AGM regarding the remuneration policy, remuneration report and the Enhanced Delivery Plan.  Following the consultation exercise, some changes were made to the final EDP to reflect shareholder feedback and the Board has a clear understanding of the reasons why a minority of shareholders were not supportive of the EDP. The Remuneration Committee would like to thank those shareholders that took part in the engagement process and values the feedback and insights it has gained.

The final resolution where a vote of more than 20% against (as a percentage of the total number of votes cast) was received related to the additional authority to disapply pre-emption rights for the purposes of acquisitions and capital investments.  Only one major shareholder voted against and the Company has a clear understanding of their rationale for not supporting this resolution.
