2022 AGM voting outcome update statement
Mitie Group plc (the Company) today provides an update in respect of the results of its Annual General Meeting (AGM) held on 26 July 2022. At the Company's AGM all resolutions were duly passed by poll with the requisite majority.
The Board notes that the resolutions which received a vote of more than 20% against (as a percentage of the total number of votes cast) were in respect of the re-election of Roger Yates and the additional authority to disapply pre-emption rights (up to a nominal value equivalent to 5% of Mitie's issued share capital excluding Treasury shares) for the purpose of acquisitions and capital investments. It should be noted that votes cast in favour of those resolutions were 79.52% and 78.19% respectively.
The majority of the votes received against the re-election of Roger Yates were attributable to one of the Company's major shareholders whose policy is not to support Non-Executive Directors who are over-committed to other activities. Roger Yates is Non-Executive Director of BioTech Growth Trust Plc, and Senior Independent Director and Chair of the Remuneration Committee of both Jupiter Fund Management Plc and St James' Place Plc. St James' Place Plc has announced that Roger will be retiring from their Board at their AGM in May this year, having served 9 years.
The Company has taken on board this feedback and has sought to provide re-assurance that all Non-Executive Directors have sufficient time to dedicate to their duties.
One single shareholder cast the majority of votes against the additional authority to disapply pre-emption rights, in line with their published proxy voting and corporate governance policy.
