                        MITIE Group PLC (the 'Company')

Application has been made to the Financial Services Authority and the London
Stock Exchange plc for 533,990 Ordinary shares of 21/2p each ('shares') to be
admitted to the Official List.

Admission of the new shares will be granted on 26 February 2002 and admission
and trading will commence on 27 February 2002.

These shares are being issued in connection with the acquisition of shares in
MITIE Access Systems Limited, a subsidiary of MITIE.

These shares will rank pari passu with the existing issued Ordinary shares.
