Application has been made to the Financial Services Authority and the London
Stock Exchange plc for 659,535 Ordinary shares of 21/2 each ('shares') to be
admitted to the Official List.

Admission of the new shares will be granted on 27 December 2001 and admission
and trading will commence on 28 December 2001.

These shares are being issued in connection with the acquisition of shares in
MITIE Access Systems Limited, a subsidiary of MITIE.

These shares will rank pari passu with the existing issued Ordinary shares.
