MITIE Group PLC - Directors' Interests in Shares
On 9 September 2005, the trustees of The MITIE Group PLC (the 'Company')
Employee Trust (the 'Trust') acquired by subscription, at a price of 176.25p per
share, a total of 79,500 ordinary shares of 2.5p each in the Company. All of
these shares have been used to satisfy options exercised under the Company's
1991 or 2001 Executive Share Option Scheme and will shortly be transferred to
the individuals who exercised their options.
As potential beneficiaries under the Trust, each executive director of the
Company is treated as being interested in all shares acquired by the Trust.
The directors of the Company who may be considered to be potential beneficiaries
of the shares detailed in this notification are:
