Mitie Group plc (the "Company") - Notification of Transactions of Directors/Persons Discharging Managerial Responsibility and Connected Persons
The Company announces the following transactions in its Ordinary Shares of 2.5p each ("Shares"):
In accordance with DTR 3.1.2R, on 15 July 2015 the following Directors exercised options over Shares received pursuant to the Company's 2012 Long Term Incentive Plan:

The exercise of nil-cost options creates a charge to income tax and national insurance which will be settled from the proceeds of share sale. Ruby McGregor-Smith has opted to sell all Shares; Suzanne Baxter has opted to sell sufficient shares to cover the charge and will transfer the remaining shares to an individual subject to DTR 3.1.2.
Following the above transactions, the interests of the above named directors are as follows:
(a) Ruby McGregor-Smith is beneficially interested in 566,960 Shares (0.15% of the issued share capital of the Company); and
(b) Suzanne Baxter is beneficially interested in 255,996 Shares (0.07% of the issued share capital of the Company).
This announcement is made in accordance with the requirements of DTR 3.1.4.
