Notification of substantial shareholding

On 2 September 2005, MITIE received notification that FMR Corp. and Fidelity
International Limited and their direct and indirect subsidiaries have notifiable
non-beneficial interests in 45,291,139 Ordinary Shares of 2.5p each in MITIE,
which represents 14.74% of the issued share capital of MITIE. This is a decrease
of 50,000 shares in their holding since their last notification. The notifiable
interests also comprise the notifiable interest of Mr Edward C Johnson 3rd, a
principal shareholder of FMR Corp. and Fidelity International Limited.

MITIE has been informed that the shares to which this notification relates are
