Notification of substantial shareholding

On 29 September 2005, MITIE received notification that FMR Corp. and Fidelity
International Limited and their direct and indirect subsidiaries have notifiable
non-beneficial interests in 42,794,212 Ordinary Shares of 2.5p each in MITIE,
which represents 13.92% of the issued share capital of MITIE. This is a decrease
of 2,496,927 shares in their holding since their last notification. The
notifiable interests also comprise the notifiable interest of Mr Edward C
Johnson 3rd, a principal shareholder of FMR Corp. and Fidelity International
Limited.

MITIE has been informed that the shares to which this notification relates are
