Heronbridge Investment Management LLP ("Heronbridge") acts as investment manager for a number of Clients. In acting for our Clients,
Heronbridge is given discretion over their investments and may be empowered to vote on their behalf. However, we do not act as our Clients' custodian and therefore shares are not held in our name but in the name of each Client's custodian bank or institution.
In addition to those disclosed above, Heronbridge has an interest in 7,622,921 shares in the capital of MITIE PLC over which it does not have discretion regarding voting decisions and, therefore, such shares have not been included in the total.
Previously, the shares over which Heronbridge does not have discretion regarding voting decisions were included in Heronbridge's reported holding and, therefore, Heronbridge's threshold calculations.
Since its last reported holding Heronbridge has acquired 49,214,967 shares with voting rights in the capital of MITIE PLC. This disclosure is,
therefore, being made as a result of: (a) such acquisition; (b) the exclusion of non-discretionary shares from Heronbridge's reported holding; and (c) a change in the number of voting rights/shares outstanding during the period.
