National Express Group plc (the 'Company') 

Announcement to the London Stock Exchange

This notification is made in accordance with DR 3.1.4R(1)(a).

On 2 December 2008, the Company's Finance Director was granted conditional rights to acquire ordinary shares of £0.05 each in the Company for nil payment as set out below:

Subject to Mr Maiden's continued employment the First Award and Second Award will ordinarily vest on 17 November 2009 and 17 November 2010 respectively.

The Third Award will ordinarily vest on 17 November 2011 subject to Mr Maiden's continued employment and the satisfaction of total shareholder return and earnings performance criteria.

The Awards were granted in connection with and to facilitate Mr Maiden's recruitment. 

No consideration was paid for the grant of the Awards.  

The Company was informed by Mr Maiden of the grant of the Awards on 2 December 2008
