Further to the announcement on 19 September 2000 that the
offer  for  Prism Rail PLC by National Express  has  been
declared unconditional in all respects and as a result of
elections  under  proposals made by National  Express  to
holders  of  options  in shares of Prism  Rail  PLC,  the
following directors of Prism Rail PLC ceased to  have  an
interest  on the following dates in the number  of  Prism
Rail PLC shares listed below:

Mark A Adams     25 September 2000 111,963 ordinary shares of 5p each
Jeremy P Simon   26 September 2000 162,217 ordinary shares of 5p each
Euan A R Cameron 28 September 2000 127,899 ordinary shares of 5p each
