The Company received notification on 5 June 2002 that Mr Barry Gibson,
non-executive director, sold 3,000 National Express Group PLC shares on 31 May
2002 at a price of £6.32.  These shares were re-purchased by Mr Gibson on 31 May
2002 at a price of £6.34 in the name of J.M. Barry Gibson (James Hay).

Following this transaction, Mr Gibson's total shareholding in the Company
remains at 3,000 shares.
