       Acquisition of Shares by the Trustee of the
 National Express Group Qualifying Employee Share Trust
                            
National  Express Group PLC (the 'Company') hereby  gives
notice pursuant to Section 329 of the Companies Act  1985
(the  'Act')  and  Paragraph 16.13 of  the  London  Stock
Exchange  Listing Rules that on 16 and 17  December  1999
the  Trustee  of  the National Express  Group  Qualifying
Employee  Share  Trust  (the 'Trust')  purchased  220,000
ordinary  shares  in  the Company at  the  prices  listed
below.   The purchase was notified to the Company  on  23
December 1999.  As all employees of the Company  and  its
subsidiaries are potential beneficiaries under the  Trust
on  an  equal  basis,  the  executive  directors  of  the
Company,  Mr P White, Mr R O'Toole, Mr R Brown and  Mr  W
Rollason,  in their capacity as members of the  class  of
potential  beneficiaries under the Trust, are  deemed  to
have  acquired  an  interest  in  these  shares  for  the
purposes of the Act.
