advises that the 'Purchase of Own Securities' announcement released on 11
September 2002 at 18:03, as RNS 0742B should have referred to 5,000 shares being
purchased rather than 8,000 shares as originally stated.

The full amended text appears below:


'Elderstreet Downing VCT plc announces that on 9 September 2002 the Company
purchased 5,000 ordinary shares of 5p each for cancellation representing 0.03%
of the issued share capital at a price of 55p per share.

Following this transaction the Company now has 15,092,500 shares in issue.'
